IMPORTANT: BY CREATING AN ACCOUNT, USING OUR SITE OR SERVICES, CLICKING “I AGREE,” OR PAYING A SUBSCRIPTION/FEE, YOU ACCEPT THESE TERMS.

1) Who we are
Salon Ring Inc. (“Salon Ring,” “we,” “us”) provides an AI-powered virtual receptionist that answers calls, sends SMS, and books appointments with third-party scheduling tools (e.g., Booksy) (the “Services”).

2) Eligibility & Accounts
You must be 18+ and authorized to bind your business. You’re responsible for your account security and any third-party credentials you supply (e.g., Booksy).

3) Services
Calls/SMS may be handled by an AI agent; we may record, transcribe, and analyze conversations; we may perform actions in third-party platforms you connect. Demo/test numbers simulate bookings; demo results aren’t real bookings.

4) Plans, Billing, Taxes, Overage
(a) Recurring billing. Plans renew unless canceled. Prices are in CAD (unless stated) and exclude taxes; applicable taxes (GST/HST/PST/VAT) are added.
(b) Usage/overage. Minutes/SMS beyond plan limits are billed at posted rates.
(c) Invoices & disputes. Dispute charges within 15 days of invoice.
(d) Non-payment. We may suspend/terminate for unpaid balances and apply lawful late fees.
(e) Trials/guarantees. If offered, they’re time-limited as shown at checkout.

5) Telephony, Recording & Messaging Consent
(a) Recording. Calls may be recorded/transcribed. Where required, the agent announces recording; you must ensure your use is lawful across your callers’ jurisdictions (e.g., two-party consent states).
(b) Messaging. You must obtain valid consent for SMS/MMS and honor all STOP/opt-outs.
(c) Compliance. You are responsible for compliance with CASL (Canada), TCPA/CTIA (US), GDPR/ePrivacy (EU), and similar laws.

6) Your Content & Licenses
You retain rights to content you provide. You grant us a worldwide, royalty-free license to host/process it to deliver and improve the Services. We may use aggregated/de-identified data to operate, secure, and improve the platform.

7) Third-Party Platforms (Booksy, etc.)
(a) Your authorization. By connecting a scheduler, you authorize us (and our subprocessors) to access and act in your account on your behalf.
(b) Credentials. You are solely responsible for securing credentials and all actions taken with them; revoke access by disconnecting.
(c) No affiliation; no responsibility for third-party changes. We are not affiliated with Booksy or others and are not responsible for outages, policy/API changes, data loss, double-bookings, or fees arising from third-party platforms or your configuration choices, to the fullest extent permitted by law.

8) Acceptable Use
No unlawful activity, spam, spoofing, malware, reverse engineering, or interference. We may throttle/suspend for abuse.

9) Availability & Support
High availability is our goal but not guaranteed. Features may change with reasonable notice where practicable. Support per your plan.

10) Beta Features
Provided “AS IS,” may be unstable, and can be withdrawn.

11) Confidentiality
Each party protects the other’s confidential information using reasonable care.

12) Privacy
See our Privacy Policy for how we handle personal data.

13) Term, Suspension, Termination
You can cancel any time; it takes effect end of the current billing period. We may suspend/terminate for breach, unlawful use, or platform risk. Upon termination, we delete/return data per the Privacy Policy and DPA.

14) Refunds
Unless expressly stated (e.g., a posted 14-day guarantee), fees are non-refundable. Usage/overage is never refundable.

15) DISCLAIMER
THE SERVICES ARE PROVIDED “AS IS/AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES (INCLUDING MERCHANTABILITY, FITNESS, NON-INFRINGEMENT). WE DON’T WARRANT ERROR-FREE, SECURE, OR UNINTERRUPTED OPERATION OR ACCURACY/SUITABILITY OF AI OUTPUTS.

16) LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED: NO INDIRECT/CONSEQUENTIAL/SPECIAL/PUNITIVE DAMAGES OR LOST PROFITS. OUR TOTAL LIABILITY IN ANY 12-MONTH PERIOD IS CAPPED AT THE AMOUNTS YOU PAID TO SALON RING IN THAT PERIOD.

17) Indemnity
You’ll defend/indemnify us from claims arising out of: (i) your content; (ii) your unlawful use or breach; (iii) your use of third-party platforms/credentials (incl. Booksy); (iv) your telephony/SMS practices.

18) Export/Sanctions
You won’t use the Services in violation of export/sanctions laws.

19) Governing Law & Venue
Ontario law (and applicable federal law of Canada). Exclusive jurisdiction: courts in Ontario, Canada.

20) Updates
We may update these Terms; continued use means acceptance.
